About the Role
We are seeking an experienced and pragmatic Senior Legal Counsel to be our first full-time in-house legal hire. This is a high-impact role where you will own and scale the legal function, working directly with the CEO and key stakeholders to enable business growth. The ideal candidate is commercially minded, thrives in a fast-moving environment, and is comfortable with ambiguity.
Responsibilities
- Own the company secretarial function, including organizing board meetings, preparing board packs, drafting shareholder resolutions, and managing statutory filings.
- Ensure compliance with investment documents and oversee shareholder communications.
- Advise the board and senior management on corporate governance and best practices.
- Provide legal support for fundraising activities, including due diligence and transaction documentation.
- Manage compliance with ongoing investor reporting obligations.
- Draft, maintain, and roll out contract templates to support scalable commercial growth.
- Lead negotiations of commercial contracts with customers, partners, and suppliers.
- Partner with the People team on employment law matters.
- Oversee the company's EMI share option plan.
- Lead on legal aspects of international growth, including subsidiary formation and coordination of cross-border structuring.
- Liaise with overseas advisers to ensure compliance with local laws.
- Advise on data protection and privacy compliance.
- Support compliance with regulatory requirements in the medtech sector.
- Develop and implement risk management frameworks.
- Provide strategic guidance on the company's IP portfolio.
- Support R&D and product development teams to embed IP awareness.
Requirements
- Qualified solicitor with 6–9 PQE.
- Strong foundation in corporate and commercial law.
- Prior in-house experience at a startup or scale-up.
- Experience in medtech, life sciences, or a regulated industry.
- Track record of leading commercial contract negotiations.
- Experience managing external counsel effectively.
- Solid grounding in corporate governance and company secretarial responsibilities.
- Experience with equity fundraising processes (Series A or beyond).
- Strong communicator, able to translate complex legal risk into clear guidance for non-lawyers.
- Proactive, commercially minded, and energized by a standalone legal role.
- Familiarity with FDA, UKCA, and CE regulatory frameworks (desirable).
- IP portfolio management experience (desirable).
- International expansion or cross-border structuring experience (desirable).
- Data protection / GDPR expertise (desirable).
- EMI share option scheme administration (desirable).
