About the Role

The Managing Director role within the Syndications group at City National Bank is responsible for leading the origination, structuring, execution, and distribution of syndicated loan transactions for middle market and corporate banking clients. This senior advisor role focuses on driving revenue growth and client satisfaction by cultivating lender relationships, generating new business, and mentoring junior colleagues.

Responsibilities

  • Lead the structuring, underwriting, pricing, and execution of syndicated credit facilities, term loans, acquisition financings, recapitalizations, refinancings, and sponsor-backed transactions.
  • Partner with Relationship Managers to identify and originate syndicated transactions.
  • Help determine optimal capital structure for client and jointly pitch proper debt solutions and identify other ancillary banking and capital markets opportunities.
  • Coverage may include sponsor cash flow, asset-based lending, construction, subscription, NAV and GP lines across the fund finance, middle market C&I, franchise finance, sponsor, food & beverage, entertainment, and real estate verticals. Expertise in two or more of these areas is strongly preferred.
  • Stay apprised of market trends and advise internal stakeholders on market conditions affecting pricing, execution, and lender demand.
  • Conduct specific market soundings for prospect transactions prior to launch to assess lender appetite.
  • Prepare and present syndications materials such as confidential offering memorandums, term sheets, lender presentations, financial models, and other marketing materials on behalf of clients.
  • Work with clients to select lenders for the bank group and determine commitment allocations.
  • Negotiate and review legal documentation such as credit agreements and other ancillary documents with clients.
  • Oversee transaction staffing and workflow management.
  • Act as primary liaison between client and potential lenders during the syndication process and post-closing in an Agency capacity.
  • Assist Relationship Managers in the preparation and presentation of internal concept memos credit memorandums for syndicated transactions.
  • Maintain deep relationships with commercial banks, institutional lenders, private credit funds, insurance companies, and other capital providers.
  • Work with Relationship Managers and Underwriters to continue ongoing portfolio management of Agented transactions, including maintaining ongoing Administrative Agency functions.
  • Lead and mentor junior syndications colleagues.
  • Other responsibilities as required by Group Head or by Head of Capital Markets.

Requirements

  • Bachelor's Degree or equivalent
  • Minimum 10 years banking experience
  • Minimum 8 years’ experience on sell-side in capital markets
  • Credit Training
  • MBA preferred
  • Prior commercial or investment banking experience preferred
  • Must possess excellent verbal, written, and presentation skills
  • Competent with technology
  • Proficient in Microsoft Office
  • Ability to work both independently and as part of a deal team
  • High degree of maturity and integrity with a positive and hardworking attitude
