About the Role

The Paralegal II performs general administrative and clerical duties for the Legal Administration Department, potentially assisting with board materials and regulatory filings.

Responsibilities

  • Prepares client registration statement updates, SEC filings, and forms.
  • Distributes client board and committee materials, including agendas, exhibits, reports, and resolutions.
  • Prepares minutes of client board and committee meetings.
  • Maintains contractual agreements and corporate governance documents.
  • Manages regulatory calendars and filing processes.
  • Assists in developing legal administration procedures for board meetings, corporate governance, and SEC filings.
  • Supports client-related projects.
  • Manages daily legal administration operations.
  • Implements and understands day-to-day legal administration services provided by Ultimus Fund Solutions.

Requirements

  • 3+ years of paralegal or legal administration experience in a corporate or law firm environment.
  • 1-3 years of experience with the Investment Company Act of 1940.
  • Equivalent education, experience, and knowledge, skills, and abilities will be considered.

  • Undergraduate degree from an accredited college or university.
  • Paralegal certificate from an accredited school, college, or university.
