About the Role
The Associate Legal Counsel will manage various corporate law matters, including governance, regulatory compliance, subsidiary maintenance, and corporate transactions, contributing to the Legal department's effectiveness and Equinix's business objectives.
Responsibilities
- Maintain proper documentation and records for corporate entities to ensure compliance with laws and regulations.
- Draft minutes and resolutions for the Board and its committees.
- Advise on legal and regulatory issues such as data protection, privacy, power regulation, renewable energy, environmental, export controls, and telecommunications.
- Develop and coordinate US and global regulatory management policies and programs.
- Provide training on internal procedures, forms, and policies for legal compliance.
- Participate in global legal initiatives and project working groups.
- Maintain the Legal 'data room'.
- Perform legal research.
- Cover absences for Legal Counsel and Paralegal.
- Manage external legal counsel for local law input and legal support.
- Assist Legal Counsel and Senior Legal Counsel with transaction support.
- Identify and address violations or potential violations of corporate governance rules regarding supplier and vendor contracting.
- Assist in developing, disseminating, and reviewing template contract documentation for procurement.
- Review, interpret, and negotiate agreements and transactions (construction, real estate, SNDA, estoppel, etc.).
- Support the Finance department with US GAAP and local statutory accounts and audit processes.
- Prepare SEC disclosure documents.
- Identify and advise on intellectual property issues to ensure proper protection.
- Coordinate filings and maintenance of Equinix’s IP Portfolio.
Requirements
- Proven experience completing tasks similar to the above for a law firm or in-house legal department preferred.
- JD or equivalent required.
- Current active member of a state bar association or legal association applicable to the jurisdiction of hire required.
