About the Role
KPMG Law LLP is seeking an Associate to join its Business Law Group in Toronto. This role involves advising clients on a broad range of business law matters, including corporate transactions, commercial agreements, corporate reorganizations, and general corporate advisory work. The position offers exposure to a diverse client base and the opportunity to contribute to a growing practice within a multidisciplinary firm.
Responsibilities
- Advise clients on legal matters related to their day-to-day business operations
- Draft and negotiate shareholders' agreements, share and asset purchase agreements, commercial contracts, and other business law documents
- Conduct and coordinate due diligence activities for transactional matters and corporate reorganizations
- Research complex legal issues and prepare memoranda and legal opinions on a variety of business law matters
- Collaborate with legal and non-legal professionals across KPMG to develop integrated client solutions
- Manage multiple files while maintaining high standards of quality, accuracy, and client service
- Contribute to client relationship management and business development initiatives
- Support the continued growth of the Business Law Group and broader KPMG Law practice
Requirements
- 4–6 years of business law experience gained at a leading law firm
- J.D. or LL.B. from an accredited law school
- Membership in good standing with the Law Society of Ontario
- Strong experience advising on business law matters, including corporate transactions, commercial agreements, corporate reorganizations, and general corporate advisory matters
- Excellent drafting, research, analytical, and problem-solving skills
- Proven ability to manage competing priorities and deliver high-quality work within tight timelines
- Strong client service orientation and the ability to build effective relationships with internal and external stakeholders
- Collaborative approach to working within multidisciplinary teams
- Superior academic credentials, sound professional judgment, and a commitment to the highest ethical standards and integrity
