About the Role
The Senior Legal Counsel for Corporate and Institutional Banking (CIB) Infrastructure & Project Finance provides legal advice and support for infrastructure and project finance business in the U.S. The role covers the full lifecycle of project finance transactions, including development, construction, and financing of large-scale infrastructure, energy, transport, and public-private partnership projects.
Responsibilities
- Provide day-to-day legal advice to the CIB Infrastructure & Project Finance team on project finance and infrastructure lending.
- Manage the end-to-end cycle of project finance transactions including strategy, structuring, due diligence, drafting, negotiation, and execution.
- Advise on project finance structures such as limited and non-recourse financings, public-private partnerships, concession agreements, and ECA-backed facilities.
- Support business and relationship management teams in structuring and negotiating complex financing arrangements.
- Advise on cross-border transactions, multi-sourced funding, intercreditor arrangements, and regulatory frameworks.
- Advise on legal and regulatory risks arising from project financings.
- Review and negotiate project finance documentation including facility agreements, security packages, and hedging arrangements.
- Brief senior management on material legal issues.
- Work independently and escalate complex issues or significant risks to management.
- Manage and instruct panel law firms and legal spend.
- Provide legal support to other CIB teams as needed.
- Collaborate with legal team members across CIB and maintain professional relationships globally.
Requirements
- License to practice law in New York State or another acceptable U.S. state.
- Solid experience at an international law firm or financial institution in project finance, infrastructure finance, energy finance, or public-private partnerships.
- Expertise in negotiating limited and non-recourse financing structures, concession frameworks, and multi-party intercreditor arrangements.
- Legally authorized to work in the U.S. without immigration sponsorship.
