About the Role
This role will be a legal business partner supporting Clarivate’s corporate transactions, including mergers, acquisitions, divestitures, financing, complex commercial agreements, and more. This position offers a unique opportunity to work on sophisticated, high-value M&A and strategic transactions. Responsibilities
- Lead legal support for Clarivate’s corporate transactions, including the review and negotiation of deal documents, assistance in structuring deals, and coordination of due diligence.
- Lead a variety of general corporate projects.
- Review and negotiate complex commercial agreements, as time permits.
- Identify ongoing personal training and developmental needs as part of continuous career and professional development.
- Some travel on an as needed basis.
Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law and in good standing with the applicable bar association.
- 5+ years’ experience as an attorney working primarily on complex, multinational mergers and acquisitions, including at least 3 years at a large North American law firm as a corporate/M&A associate.
- Prior in-house experience preferred.
- Excellent negotiation, organizational and deal management skills.
- Enthusiasm for process improvement and client satisfaction.
- Highly proficient in spoken and written English.
- Demonstrated ability to interact with and influence senior executive leaders.
- Admitted in good standing to the bar of working location.
