About the Role
We are seeking a junior tax associate to support our growing renewable energy and energy transition practices. This role involves working on cutting-edge transactions, including those leveraging tax incentives from the Inflation Reduction Act of 2022 and the One, Big, Beautiful Bill Act.
Responsibilities
- Negotiate and draft tax-related provisions for various transaction documents, including partnership agreements, purchase and sale agreements, and credit agreements.
- Review and draft tax-related provisions of construction documents, offtake agreements (such as power purchase agreements), and other project documents.
- Draft memoranda and opinions on project qualification for tax credits, investment structuring, and related tax matters.
- Coordinate internal and external resources for project development, financing, and other transactions.
Requirements
- 2+ years of domestic taxation law experience, with a background in partnership tax or tax credits.
- Strong academic record and intellectual curiosity.

- Experience with renewable energy tax credits and project finance, including negotiating and documenting tax equity transactions and tax credit transfer agreements.
- Ideally, experience with partnership tax and M&A transactions.
- Ability to grasp the tax intricacies of complicated transactions involving partnerships and tax credits (including rules on foreign entities of concern and prevailing wage & apprenticeship).
- Comfortable handling complex contractual work with attention to detail and creativity.
- Pragmatic and highly organized, consistently meeting deadlines.
- Willingness to accept responsibility and take ownership of projects.
