About the Role

We are seeking a Vice President, Legal, Capital Markets with expertise in complex financing transactions to lead legal execution for debt financings, project finance, and asset finance. This role involves navigating ambiguity, balancing legal risk with commercial objectives, and building strong relationships with senior stakeholders. You will manage complex, multi-billion dollar financing processes from end-to-end, providing pragmatic advice and contributing to Nscale's global expansion in the AI infrastructure sector.

Responsibilities

Lead the legal execution of Nscale's financing transactions, supporting project finance, asset finance, and strategic funding initiatives.
Manage financing transactions from inception through financial close, coordinating legal workstreams, negotiating documentation, and driving execution.
Advise on financing structures, funding solutions, and transaction strategy, supporting complex cross-border financings.
Oversee multiple concurrent financing processes, including due diligence, timeline management, and workstream progression.
Build relationships across the business, provide pragmatic legal advice, identify risks, and support commercial decision-making.
Instruct and manage external legal advisers and specialist consultants globally.
Proactively identify legal, commercial, and operational risks, and help develop scalable financing processes and improve documentation standards.
Contribute to the development of Nscale's in-house financing capability and support complex transactions.

Requirements

10+ years of experience in top-tier law firms, financial institutions, and/or in-house legal roles.
Experience within or for clients from the AI, hyperscaler, digital infrastructure, or technology industry.
Exposure to complex financing transactions and corporate governance matters.
Experience working within financial institutions.
Strong attention to detail with a focus on holistic, entrepreneurial, and fast-paced decision-making.
Significant experience in complex corporate cross-jurisdictional transactions, including debt and equity fundraising, capital markets, venture debt, securitisation, and corporate governance.
Understanding of cross-border regulatory and structuring considerations.
Robust internal and external stakeholder management and communication skills.
Ability to influence and advise senior business leaders and collaborate effectively across cross-functional teams.
Experience relevant for, and motivation to participate in, a growing legal function in a busy and exciting business.
Comfortable working in a fast-paced, high-growth environment requiring accountability, adaptability, and commitment to excellence.
