About the Role
Support the Associate General Counsel in advising on legal matters for ICE Data Services, with a focus on commercial data licensing transactions and strategic agreements. This hands-on role involves reviewing and negotiating complex contracts, creating templates, and collaborating with business units.
Responsibilities
- Draft, review, and negotiate various agreements for ICE Data Services globally, primarily customer and data sourcing agreements.
- Assist in the preparation and review of external requests for information (RFIs and RFPs).
- Identify risk implications of business strategies and plans.
- Ensure advice provided is consistent with relevant regulatory requirements and ICE policies.
- Liaise with ICE business areas and provide advice and assistance as needed.
- Collaborate with business, sales, and product teams on commercial negotiations and client discussions.
- Support the wider Legal team in EMEA and APAC on legal matters with cross-jurisdictional impact.
- Act as an enthusiastic and professional member of the legal department.
Requirements
- Qualified lawyer in New York.
- Experience working in-house and understanding financial services/markets.
- Ability to work across a broad range of product areas.
- Experience in commercial data licensing transactions, commercial contracting, and contract negotiation.
- Ability to provide legal advice across a variety of products and services.
- Some knowledge and understanding of global regulatory frameworks impacting data services and exchanges (e.g., MiFID II, SEC, CFTC, EU GDPR, US export control, OFAC).
- Strong communication and proven negotiating skills.
- Ability to draft, analyze, review, and translate complex legal concepts and contractual documents.
- Comfortable building strong trusted relationships with non-legal stakeholders and executive management.
- Ability to provide clear, commercially minded advice.
- Ability to work autonomously and adapt effectively in changing environments.
- Ability to manage and prioritize multiple competing projects and clients simultaneously.
- Ability to work in a fast-paced environment.
- Comfortable operating across global time zones and engaging with international stakeholders.
- Desire and ability to learn business requirements quickly.
- Ability to analyze legal and business risks and propose creative, business-oriented solutions.
