About the Role
Inhouse Legal Counsel to support the New Look business on a high variety of legal matters, focusing on IP management, ESG, consumer protection, and commercial contracts.
Responsibilities
- Draft and negotiate a wide range of commercial contracts, including terms and conditions, distribution agreements, consultancy agreements, supply/purchase agreements, agency agreements, franchise/international development agreements, and arrangements with third-party e-commerce partners.
- Emphasize drafting and negotiating influencer, media, and tech contracts.
- Advise on terminations and renewals of commercial agreements.
- Advise on sales and marketing, promotions, and competitions, including reviewing advertising campaigns, promotional materials, influencer arrangements, social media content, and sustainability claims for ASA compliance.
- Advise on compliance with the Digital Markets, Competition and Consumers Act (DMCCA) and related UK consumer protection legislation.
- Support responses to regulatory inquiries, investigations, and enforcement actions related to consumer protection and advertising.
- Assist with corporate/company secretarial matters, such as drafting Powers of Attorney and corporate projects.
- Advise on ESG-related legal and regulatory requirements, including sustainability reporting, corporate governance, human rights, supply chain due diligence, and responsible business practices.
- Support the development and implementation of ESG policies, frameworks, and governance initiatives.
- Review and advise on sustainability claims, marketing materials, and public disclosures to mitigate risks.
- Monitor emerging ESG regulations and industry developments, providing practical guidance to business stakeholders.
- Manage the internal IP search function for designs and trademarks, providing strategic advice on IP protection, enforcement, and infringement risks.
- Engage and take advice externally when necessary for IP matters, under supervision.
- Provide ad hoc advice on various matters including standard terms & conditions, NDAs, competitions & promotions, advertising & marketing, e-commerce/online, software/IT licensing, wholesale & retail issues, regulatory compliance, consumer law, anti-trust, and dispute resolution.
- Draft and negotiate a broad range of technology and commercial agreements, including software licensing agreements, SaaS and cloud services agreements, and professional services agreements.
- Manage upwards by keeping the General Counsel, Senior Legal Counsel, and other Commercial Solicitors informed about important issues.
- Present clearly and precisely to enable understanding of key facts and issues.
- Stay up to date with legal developments and key business information, aware of the marketplace and the company’s position.
- Cultivate and maintain business partner relationships with internal stakeholders and external counsel.
- Identify, develop, and deliver legal training for key business areas like Marketing and Intellectual Property.
- Coordinate projects and liaise with/manage external law firms for advice (UK and overseas).
Requirements
- Must be an England and Wales (or similar jurisdiction) qualified lawyer.
- Must have IP experience.
- Must have previous in-house or strong in-house secondment experience post-qualification.
- Must understand ASA advertising standards, DMCCA consumer protection requirements, and CMA regulatory frameworks.
- Must be able to advise stakeholders on compliance risks and best practices.
- Preferred experience and understanding of ESG-related legal, regulatory, and sustainability matters.
- Preferred understanding of technology.
- Preferred experience in advising on, drafting, and negotiating technology contracts, including SaaS agreements, software licenses, and Master Services Agreements (MSAs).
