About the Role

Join Alto in transforming Canada's future with a high-speed train project connecting Quebec and Toronto. This innovative initiative, supported by the Canadian government, aims to enhance citizen quality of life, strengthen community ties, and drive economic growth. We are seeking a Principal Director, Legal Affairs, Transactions to contribute to the department's objectives and the organization's mission, reporting directly to the Vice President, Legal Affairs.

Responsibilities

  • Provide legal advice to senior management on infrastructure, P3s, project financing, and M&A related to agreements with the private developer partner.
  • Lead and mobilize the three senior legal advisors within the legal affairs - transactions department.
  • Oversee legal aspects of assigned files, including those managed by the Vice President of Commercial Relations, collaborating with legal counsel from the Company, private developer partner, VIA Rail, and Justice Canada.
  • Supervise the quality and cost of legal services provided by external law firms.
  • Draft, review, and negotiate various documents, including contracts, analyses, and presentations.
  • Advise colleagues in other vice-presidencies on project legal risks and Company obligations, proposing mitigation solutions.
  • Conduct research on complex legal issues.

Requirements

  • Law degree and membership in good standing with the Quebec or Ontario Bar.
  • Minimum 15 years of professional experience in a similar role with significant commercial and corporate components in large infrastructure projects.
  • Experience in P3s and linear projects is an asset.
  • Strong leadership and team management skills (minimum 5 years of team management experience).
  • Exceptional rigor.
  • Excellent interpersonal skills.
  • Experience in negotiating and drafting corporate contracts, particularly in M&A and financing.
  • Ability to work in a team-oriented environment and interact effectively with others.
  • Dynamic, resourceful, and results-oriented.
  • Persevering, flexible, and efficient.
  • Bilingualism in French and English (oral and written) is a significant asset.
