About the Role
iCapital is seeking a Corporate Governance Attorney to support and enhance its Global Corporate Governance program and provide legal guidance on corporate governance matters affecting domestic and international subsidiaries. This role involves close collaboration with senior Legal team members to ensure compliance and support strategic initiatives.
Responsibilities
- Draft, review, and maintain corporate governance documentation, including board and shareholder resolutions, meeting minutes, consents, governing documents, certificates, and other corporate records.
- Advise on corporate governance matters impacting U.S. and non-U.S. entities, including applicable legal and regulatory requirements.
- Prepare and maintain powers of attorney, incumbency certificates, officer appointments, and related corporate documentation.
- Coordinate with registered agents and external service providers to obtain good standing certificates, certified filings, and other corporate records.
- Assist in the development, implementation, and enhancement of corporate governance policies and procedures in response to evolving regulatory requirements.
- Support entity formations, dissolutions, restructurings, mergers, and other corporate transactions while maintaining related records within the entity management system.
- Provide legal support for subsidiary governance matters and corporate entity compliance, including KYC requests, regulatory inquiries, requests for information, and audits.
- Lead the legal preparation, coordination, and execution of board and committee meetings, including agendas, materials, minutes, resolutions, and action item tracking.
- Respond to requests for corporate governance information and documentation from auditors, regulators, business partners, and internal stakeholders.
- Collaborate with colleagues across Legal, Compliance, Finance, Tax, and other business functions on governance-related initiatives and special projects.
- Support other legal matters and strategic projects as assigned.
Requirements
- Juris Doctor (JD) degree is required
- Admission to practice law in at least one U.S. jurisdiction is preferred
- 3-7 years of corporate governance, corporate law, entity management, or related legal experience, preferably within a law firm or in-house legal department
- Experience supporting multinational corporate structures and subsidiary governance programs
- Strong understanding of corporate governance principles and entity lifecycle management
- Excellent drafting, analytical, and problem-solving skills
- Able to manage multiple priorities in a fast-paced and evolving business environment
- Highly organized and detail-oriented with strong judgment and communication skills
- Proficiency in Microsoft Office applications, including Word and Excel

- $190,000 to $220,000
