About the Role

This role involves working across Company Secretarial and Legal functions, delivering high-quality legal advice and best practice company secretary and governance services across the ASX Group. Responsibilities
- Bring strong technical legal expertise and passion for corporate governance to a leading in-house team.
- Work across ASX’s Legal and Company Secretarial teams to deliver high-quality legal analysis and leading-edge governance practices.
- Use strong communication, collaboration, and organizational skills to help ASX deliver high-quality Board meetings, papers, and other services.
- Collaborate with cross-functional teams and interact directly with Boards and Senior Management on ASX’s Board and other governance processes.
- Engage with regulatory agencies and produce high-quality communications and submissions to drive regulatory outcomes.
- Share knowledge, skills, and experience to lift capabilities across the legal team and the broader business.
- Continue to develop as a lawyer in an engaging and challenging environment while building company secretarial and governance skill sets.

- Achieve strong legal and governance outcomes.
- Build a strong and diverse corporate governance practice in ASX’s Legal team, including continuous disclosure and other Listing Rules issues, directors’ duties, conflicts management, executive accountability and remuneration issues, and other related areas.
- Ensure strong processes are in place and operating effectively to ensure full compliance by ASX with its listing rule and statutory obligations.
- Support the Company Secretary to service ASX’s Boards and Committees capably and proactively, including meetings, workshops, director education programs, and related documentation and communications.
- Provide legal advice to, and in relation to, ASX’s Boards and Committees.
- Provide Company Secretarial support to committees, from agenda planning to minute taking and everything in between.
- Work effectively with all business functions on Board papers and presentations and other collaborative processes.
- Ensure timely and effective regulatory reporting and engagement across the range of ASX’s statutory obligations and other requirements.
- Collaborate with colleagues and ensure effective stakeholder engagement.
- Collaborate with internal colleagues to improve and maintain the quality of Board papers and other materials.
- Review Board and committee papers to support executives and management in providing high-quality material for directors.
- Develop and provide training on preparing board papers.
- Help ensure strong communication between management and Boards to support a “no surprises” approach.
- Liaise with investors, regulators, professional and industry bodies, and others to support ongoing constructive two-way relationships.
- Develop corporate governance skills and resources and bring new ideas and experiences to ASX’s Legal and Company Secretarial teams.
Requirements
- Trained in a leading law firm and built skills and reputation in a challenging private practice and/or in-house role.
- Practiced in company law, corporate governance, M&A, or equivalent, developing a thorough knowledge of the Corporations Act and a good practical understanding of corporate governance and the ASX Listing Rules.
- 5 or more years of post-qualification experience with a proven ability to work independently.
- Strong academic and professional qualifications.
- Won the respect and recognition of peers for integrity and legal excellence.
- Confidence and capability to work independently, with the judgment to communicate and escalate where needed.
- Strong ethics and ability to establish a high level of trust.
- Ability to communicate effectively and appropriately with directors, senior management, and staff members.

- Experience in financial services or another highly-regulated industry.
- Dealing with regulators in Australia or overseas.
- Candidates must be legally authorised to work in Australia on a permanent basis without any restrictions.
