About the Role
Provide support to attorneys advising the Corporate business of Cohen & Steers, Inc., a global asset management company. Responsibilities include assisting with corporate governance, document management, regulatory filings, and administrative matters for the company and its affiliates.
Responsibilities
- Support corporate attorneys with public company and reporting matters for Cohen & Steers, Inc., CNSREIT, and international affiliates.
- Attend and prepare for board/committee meetings, including arranging materials and managing day-of support.
- Interact directly with directors and senior management.
- Prepare, draft, and review SEC filings.
- Manage corporate governance and compliance, including preparing corporate reports, filings, and correspondence with the NYSE.
- Support earnings releases and conference calls, including in-person elements.
- Maintain minute books and corporate records.
- Handle corporate press releases.
- Collect and process director and officer questionnaires.
- Provide daily support to attorneys and internal business teams on corporate governance, regulatory filings, and disclosures.
- Provide on-the-ground support for corporate and strategic transactions, reorganizations, public company securities offerings, and other significant events.
- Contribute to the review of commercial and vendor contracts, as well as non-disclosure agreements.
- Manage the execution and retention of original corporate documents.
- Maintain legal entity records, organizational charts, and subsidiary information for domestic and international affiliates.
- Administer and maintain corporate compliance policies.
Requirements
- 1 to 3 years relevant experience.
- Bachelor’s Degree.
- Experience with Microsoft Office Suite.
- Ability to learn new databases/programs quickly.
- Careful and thorough with particular attention to detail.
- Self-starter with the ability to exercise independent judgment.
- Ability to multitask and manage multiple assignments concurrently.
- Intelligent, bright, conceptual thinker with strong analytical skills.
