About the Role

Seeking a junior to mid-level associate with 3-6 years of experience to join a market-leading corporate law team. This role focuses on private equity, M&A, SPAC transactions, cross-border deals, growth equity, venture capital, and distressed acquisitions. The ideal candidate will advise private equity sponsors, strategic buyers/sellers, and emerging growth companies on a variety of domestic and cross-border transactions.

Responsibilities

  • Play a key role in all phases of transactions.
  • Draft, review, and negotiate acquisition and investment agreements and related transaction documents.
  • Manage due diligence processes.
  • Coordinate with tax, benefits, IP, employment, real estate, and other specialist teams.
  • Interact directly with clients.
  • Assist with transaction execution, closings, and post-closing matters.

Requirements

  • 3-6 years of experience.
  • Meaningful experience advising private equity sponsors, strategic buyers and sellers, and emerging growth companies in a broad range of domestic and cross-border transactions.
  • Strong analytical skills.
  • Strong drafting skills.
  • Strong project management skills.
  • Ability to manage multiple workstreams in a fast-paced environment.
