Responsibilities

  • Provide commercial contracting support, including drafting NDAs, order forms, amendments, and supplier agreements.
  • Offer core business-as-usual legal support across all BI trading entities.
  • Assist with company secretarial duties, governance processes, entity maintenance, and coordination with external providers.
  • Support the Legal Director on complex or high-value arrangements, managing stakeholder input, approvals, and execution workflows.
  • Assist with regulatory documentation, including Data Processing Agreements (DPAs) and AI schedules.
  • Serve as the key contact for contract lifecycle and obligation management, including tracking and post-signature compliance.
  • Support sell-side commercial activities by maintaining deal momentum, applying standard positions, and escalating non-standard requests.
  • Provide sell-side and procurement diligence support, coordinating inputs from security, privacy, finance, and operations.
  • Enable data privacy and digital regulatory compliance by embedding consistent positions and workable processes.
  • Support post-Merger & Acquisition integration, including contract novations, template harmonization, and issue triage.
  • Own the day-to-day development of legal operations, including templates, playbooks, clause libraries, and the selection/administration of legal tech.
  • Design intake and triage workflows and build reporting for function management.
  • Provide ad-hoc legal support for cross-functional initiatives.

Requirements

  • Experienced in-house paralegal (or equivalent) with strong commercial contracting exposure and an interest in legal operations.
  • Comfortable operating in a scaling, global SaaS/technology environment.
  • Hands-on experience drafting commercial contracts (e.g., NDAs, order forms, supplier agreements) and supporting negotiations.
  • Experience supporting Sales on upsells/renewals and enterprise procurement cycles.
  • Demonstrated self-starting adoption of legal tech and AI enablement (e.g., CLM, contract automation, playbooks, e-signature, AI-assisted drafting/review).
  • Ability to take initiative, surface options, and balance commercial outcomes against risk.
  • Practical, commercial mindset and comfort working with ambiguity during transition/change.
  • Meaningful in-house or private practice paralegal experience (typically 3+ years).
  • Practical experience drafting commercial agreements and supporting negotiations.
  • Familiarity with a range of commercial agreements (e.g., NDAs, order forms, supplier contracts, MSAs).
  • Exposure to working with Sales or commercial teams in a high-volume or scaling environment.
  • Evidence of taking ownership beyond pure task execution (e.g., improving a template, building a tracker, owning an intake process).
  • Hands-on exposure to CLM systems and broader legal tech.
  • Comfortable standardizing workflows, building templates/playbooks, and enabling AI-assisted contracting.
  • Exposure to SaaS, technology, or AI-enabled products.
  • Experience supporting enterprise deals, including negotiating customer/third-party paper and coordinating security, privacy, and procurement requirements.
