About the Role

We are seeking a VP, Legal (Corporate and M&A) to lead corporate legal workstreams for Nscale’s strategic transactions. Reporting to the SVP, Corporate and M&A, you will be a lead corporate counsel, managing M&A, joint ventures, equity fundraisings, restructurings, subsidiary governance, employee equity, and strategic transactions. This highly visible role involves advising senior leaders and building scalable legal processes.

Responsibilities

  • Lead strategic transactions, including M&A execution from term sheet through closing.
  • Partner with Corporate Development, CFO, and CEO on strategic transactions, providing legal input on deal structuring, risk assessment, and execution.
  • Run strategic minority investments, including structuring, due diligence, drafting, closing, and managing post-close obligations.
  • Lead joint venture projects end-to-end, from structuring and governance design to negotiation of agreements.
  • Ensure alignment across commercial, financial, and legal workstreams for joint ventures.
  • Work with Tax, Treasury, and Finance on intra-group funding and reorganisations.
  • Lead on US materials for Board and Committee, including resolutions, minutes, and supporting materials.
  • Advise on equity issuances, secondary transactions, and shareholder matters.
  • Work on subsidiary governance and entity rationalisation across an international footprint.
  • Support employee equity workstreams in partnership with People and Finance.
  • Partner closely with the Governance and Corporate Secretary function.
  • Contribute to building and systematising the corporate legal function, including processes, templates, and playbooks.
  • Assist the SVP, Corporate and M&A on management of external law firms and billing.

Requirements

  • 12+ years of corporate legal experience, including top-tier law firm time and/or significant in-house experience.
  • Strong M&A and corporate transactional track record.
  • Confidence leading multi-stream transactions from structuring through execution.
  • Experience advising senior stakeholders on complex corporate matters.
  • Strong understanding of joint ventures, equity matters, subsidiary governance, and strategic transactions.
  • Ability to partner effectively with Corporate Development, Tax, Treasury, Finance, People, Governance, and executive leadership.
  • Qualified lawyer in the US in good standing.
  • Experience in fast-growth businesses is preferred but not required.
  • Experience scaling a corporate function in a high-growth or pre-IPO company is a plus.
  • Familiarity with employee equity at venture or pre-IPO stage is a plus.

Salary/Compensations

  • $300,000—$600,000 USD
