About the Role

Provide legal advice and drafting/review across a broad range of corporate and commercial matters. Lead the development, enforcement, and growth of GTC’s enterprise-wide IP strategy. Maintain accurate corporate documentation for all GTC legal entities. Monitor global regulatory updates to safeguard corporate compliance. Advise internal teams on all aspects of the contract lifecycle.

Responsibilities

  • Provide legal advice and drafting/review across a broad range of corporate and commercial matters, including sales agreements, commercial partnerships, software agreements, NDAs, services agreements, intellectual property agreements, licensing agreements, and marketing agreements.
  • Conduct legal research and analysis on corporate and tax matters related to GTC’s legal structure and activities.
  • Assist with financing transactions, with particular focus on transaction closings.
  • Lead the development, enforcement, and growth of GTC’s enterprise-wide IP strategy.
  • Direct external legal counsel on international trademark applications, oppositions, domain name disputes, and enforcement actions.
  • Personally conduct trademark availability searches, provide business units with advice on intellectual property usage, and draft responses to cease-and-desist claims.
  • Maintain accurate corporate documentation for all GTC legal entities.
  • Update global minute books, draft board resolutions, compile shareholder documents, and draft documentation for inter-company transactions.
  • Monitor global regulatory updates to safeguard corporate compliance across travel industry regulations, consumer protection rules, privacy laws, and international advertising frameworks.
  • Maintain regulatory compliance with the company’s required licenses and facilitate reporting obligations.
  • Support GTC’s annual and interim financial audits.
  • Advise internal teams on all aspects of the contract lifecycle from drafting through to interpretation, termination strategy, and conflict resolution.
  • Identify operational bottlenecks to streamline and automate contracting processes.

Requirements

  • Bachelor of Laws (LL.B) or Juris Doctor (J.D.) degree from a recognized institution, paired with active membership in good standing with the Law Society of Ontario (or another Canadian provincial bar).
  • 1 to 4 years of progressive corporate and commercial law experience, ideally within a corporate in-house setting or a business law practice group.
  • Direct experience or foundational exposure handling intellectual property matters, trademark classifications, or global portfolio tracking.
  • A demonstrated interest or working familiarity with advertising and marketing law, international privacy regulations (such as GDPR/CCPA), and travel industry operational legal frameworks.
  • Strong legal research capabilities with excellent attention to detail.
  • A pragmatic and efficient approach, financial literacy, an understanding of when to exercise discretion, and comfort with working independently in a fast-paced environment.
  • Excellent written, verbal, and negotiation skills, with a proven ability to translate complex concepts into clear and actionable advice for non-legal business stakeholders.
  • A highly organized, solutions-driven legal professional who exercises discretion when handling sensitive or high-stakes corporate materials.
  • Possess the mental resilience to handle juggling multiple projects, dedicating extended blocks of focus to critical tasks, and the ability to deliver quality results under tight time limits.
  • Can adapt seamlessly to frequent, unplanned scheduling interruptions and sudden shifting priorities.
