About the Role

Provide practical, timely, and business-oriented legal advice on a broad range of corporate, commercial, and regulatory matters. Act as a strategic legal partner and primary point of contact for legal support across various business units, advising on product development, procurement, regulatory compliance, and enterprise initiatives.

Responsibilities

  • Provide practical, timely, and business-oriented legal advice on a broad range of corporate, commercial, and regulatory matters impacting GreenShield’s businesses
  • Draft, review, revise, and negotiate a wide range of commercial agreements, including client agreements, service provider agreements, partnership agreements, NDAs, amendments, and statements of work
  • Support the full contract lifecycle, including new client onboarding, contract renewals, amendments, and contract integration activities relating to acquisitions and evolving products and services
  • Support business units in their responses to requests for proposals (RFPs), including reviewing client terms, identifying legal and commercial risks, and advising on negotiation strategies
  • Identify legal, regulatory, and commercial risks associated with business initiatives and provide practical, solutions-oriented guidance to mitigate risk while enabling business objectives
  • Collaborate with cross-functional teams, including privacy, IT, security, product, and operations, to advise on issues relating to data use, platform services, and regulatory compliance
  • Provide legal support on regulatory and compliance initiatives, including competition law matters, internal policies, and enterprise compliance programs
  • Support the management and resolution of claims, disputes, and litigation matters as required, including coordinating with and overseeing external counsel
  • Manage relationships with external counsel, including briefing, coordinating, and reviewing external advice on specialized or complex matters
  • Conduct legal research and analysis and prepare clear and concise written and oral legal advice for business stakeholders
  • Support the development, maintenance, and continuous improvement of legal templates, playbooks, and contracting processes to enhance efficiency and consistency
  • Support strategic initiatives, including product development, enterprise transformation projects, and post-acquisition integration efforts
  • Perform other duties as assigned

Requirements

  • A minimum of 1 to 5 years’ post-call relevant experience at a law firm and/or in-house department practicing corporate/commercial law
  • Experience with technology and health-related agreements is an asset
  • Strong experience drafting, reviewing, and negotiating a wide range of commercial agreements, including service provider, client-facing, and partnership agreements
  • Experience supporting business stakeholders in a fast-paced environment, with the ability to provide clear, practical, and risk-adjusted legal advice
  • Exposure to insurance, health, and/or pharmaceutical industry would be an asset
  • Exposure to third-party service provider agreements, procurement processes, and risk management frameworks
  • Demonstrated ability to identify legal and commercial risks and propose pragmatic, solutions-oriented approaches
  • Strong business acumen and the ability to balance legal risk with commercial objectives
  • Superior written and oral communication skills, with the ability to translate complex legal concepts into clear, actionable guidance for non-legal stakeholders
  • Capacity to work independently, manage competing priorities, and handle a high volume of work with minimal supervision
  • Ability to collaborate effectively with cross-functional teams, including privacy, risk, IT, security, product, and operational stakeholders
  • Organizationally savvy with the ability to influence decision making at operational and corporate levels
  • Solution-driven and practical approach to tackling challenges and supporting the legal needs of GreenShield’s businesses
  • Ability to effectively manage external legal resources
  • Intellectual curiosity and a strong desire to deliver value and learn across a broad range of legal, regulatory, and business issues
  • J.D. or equivalent
  • Member in good standing with the Law Society
  • Proficiency in English is required for this position
  • Ability to communicate with colleagues or customers who use English as their primary language
