About the Role

The Special Situations M&A team provides tailored M&A solutions across stressed, distressed, and insolvent/bankruptcy situations, focusing on maximizing value and delivering deal certainty. This role offers the opportunity to lead workstreams, manage junior staff, and support senior leadership in client delivery within a growing team.

Responsibilities

  • Advise on sell-side and buy-side transactions, managing all engagement aspects and supporting senior advisors.
  • Oversee transaction management, including preparing information memoranda, valuation analysis, and client communications.
  • Act as a project team lynchpin, communicating timelines and strategy to junior staff.
  • Support management teams in preparing and challenging business plans, forecasts, and financial advisory plans.
  • Lead engagement with buyers, oversee due diligence, and anticipate buyer questions.
  • Input into buyer negotiations and liaise with legal advisors on SPAs/APAs.
  • Develop, analyze, and present financial advisory options, integrating input from other teams.
  • Prepare engagement letters and ensure adherence to compliance requirements.
  • Manage Quality Risk Management processes throughout project lifecycles.
  • Apply understanding of engagement economics and financial/risk management.
  • Build client relationship, sector, and leadership skills.
  • Develop technical expertise, business advisory, and people management skills.
  • Understand the market, topical issues, and Teneo's propositions.
  • Support practice and talent development.
  • Provide on-the-job coaching and development to staff.
  • Develop junior staff through appraisals and mentoring.
  • Support wider Financial Advisory training initiatives.
  • Manage diverse teams within an inclusive culture.
  • Demonstrate understanding of strategies for managing diverse teams.
  • Demonstrate clear understanding of the company’s commitment to creating an inclusive culture.
  • Demonstrate awareness of topical issues in the Special Situations M&A market.
  • Own elements of business development and deal origination.
  • Identify opportunities to expand engagements and offer wider Teneo services.

Requirements

  • Financial Advisory experience gained as an M&A advisor (professional services, consultancy, or investment bank) or as an investor (debt or special situations fund).
  • Deep understanding of Corporate Finance and M&A advisory, with experience or interest in Special Situations.
  • Understanding of insolvency and alternative transaction delivery mechanisms.
  • Understanding of debt markets, banking, loan agreements, historical financial performance, and future outlook.
  • Solid understanding of deal structuring and transaction implications.
  • Good understanding of the Financial Advisory marketplace, trends, and key players.
  • Capability to develop and implement innovative M&A strategies.
  • Excellent numeracy skills with keen attention to detail.
  • Ability to absorb and interpret large amounts of data quickly.
  • Strong commercial and business diagnostics acumen with very strong analytical skills.
  • Client and team focus, with ability to work quickly and establish effective working relationships.
  • Excellent communication, meeting, presentational, and interpersonal skills.
  • Logical and meticulous approach to problem-solving.
  • High level of project management and organizational skills.
  • Ability to lead teams and develop people.
  • Ability to conduct detailed financial/commercial exploration for client reports.
  • Proven track record in business development activities and pitching.
