About the Role

We are seeking an experienced Commercial or Senior Commercial Counsel to join Decagon and help shape the legal foundation of our fast-growing AI company. As a key early hire, you will partner with Sales, Security, Product, and Leadership teams. Your responsibilities will include negotiating enterprise SaaS agreements, streamlining contract operations, accelerating revenue, protecting the business, and building scalable legal infrastructure.

Responsibilities

Review and negotiate commercial agreements, balancing legal risk with business outcomes.
Provide guidance to sales teams based on technology, market norms, and experience.
Establish working norms and processes for a hypergrowth startup legal team.
Design, update, and enforce policies and controls for the contracting process.
Take on new challenges outside of Commercial legal as the company scales.

Requirements

Qualified attorney with 4-8+ years of legal experience, including time at a top-tier law firm and/or a relevant in-house role.
Extensive experience drafting, negotiating, and closing commercial agreements (SaaS, MSAs, SOWs, NDAs, DPAs, partner/reseller deals).
Proficiency in legal frameworks (GDPR, CCPA, HIPAA), security concepts, AI governance, and intellectual property in SaaS transactions.
Ability to balance legal risk with business outcomes and tailor guidance.
Experience thriving in cross-functional environments and serving as a legal resource for Sales, Finance, Product, and RevOps.
Ability to communicate clearly, translating legal complexity into actionable guidance for non-legal stakeholders.
Flexibility, eagerness to learn, and energy for fast growth, ambiguity, and building scalable legal systems.
