About the Role

The Associate General Counsel (AGC) will provide legal counsel and support on corporate, transactional, compliance, and governance matters for URI. This role involves managing specific legal issues independently and contributing to team efforts, with potential supervision of outside counsel and paralegals.

Responsibilities

  • Research and advise on corporate governance, procurement, finance, real estate transactions/projects, law enforcement engagement, and labor relations and employment.
  • Review and advise senior management and staff on federal, state, and City grants, including compliance and regulatory issues.
  • Develop policies and procedures to build organizational infrastructure and address risk management.
  • Support Board and Committee governance, including drafting resolutions and materials.
  • Collaborate with departments to advise on critical incidents and track resolution processes.
  • Work with Governmental Affairs to understand applicable City and State legislation and regulations.
  • Collaborate with Security and Facilities to respond to law enforcement visits and site-related issues.
  • Develop and manage work plans, providing legal direction and advice on legal strategy.
  • Prepare and deliver regulatory and compliance training.
  • Supervise professional and administrative staff, including annual filings.
  • Participate in senior leadership and interdepartmental meetings.
  • Perform duties of the General Counsel and other responsibilities as requested when necessary.

Requirements

  • A minimum of 5 years of relevant legal experience, combining law firm and in-house experience, preferably in government or a nonprofit.
  • Law firm experience with nonprofit corporate work may substitute for government/nonprofit in-house work.
  • Experience in one or more of the following: laws and regulations for non-profit entities and tax-exempt organizations; drafting and negotiating contracts; compliance, risk management, and policy development.
  • Experience analyzing, interpreting, and communicating legal strategies and requirements to non-lawyer colleagues.
  • Ability to integrate and balance priorities for multiple internal clients.
  • Outstanding attention to detail and commitment to excellence.
  • Strong legal, analytical, problem-solving, and critical thinking skills.
  • Ability to maintain confidentiality and exercise strong judgment and discretion.
  • Excellent verbal and written communication skills.
  • Proficiency with Office 365 or similar suites.
