About the Role
Our AmLaw 100 client is seeking a 3rd–6th year associate for their strategic equity transactions team in New York. This capital markets-driven practice focuses on complex equity derivatives, equity-linked financings, and structured transactions for major financial institutions and issuers.
Responsibilities
- Work on convertible debt and convertible preferred offerings
- Work on variable prepaid forwards, funded collars, and margin loans
- Work on accelerated share repurchases and capped calls
- Work on structured acquisition transactions, including long total return swaps
- Advise bulge-bracket banks, public companies, private equity sponsors, and high-net-worth investors on high-value, time-sensitive transactions
Requirements
- 3–6 years of transactional experience
- Background in capital markets or complex financing transactions
- Comfort with technical analysis and detailed documentation
- Ability to manage multiple moving pieces under deal timelines
- Derivatives experience is helpful but not required
- A strong foundation in securities, capital markets, secured transactions, or restructuring is highly relevant
