About the Role

Provide in-house legal advice and support to the business by assisting with the establishment and fundraising of Pantheon funds and separate account programs, general corporate group, regulatory and compliance matters, and investment-related work for various investment team divisions.

Responsibilities

  • Establish Pantheon funds and assist in their fundraising, advising on fund structure, drafting/reviewing fund documentation (LPAs, PPMs, side letters, etc.), coordinating investor closings, and performing fund maintenance.
  • Assist with segregated account programs, including drafting/reviewing/negotiating term sheets, investment management agreements, and segregated limited partnership agreements.
  • Coordinate with internal marketing and investor relations teams, independent boards of directors, external counsel, and administrators regarding fund launch, marketing/fundraising, and maintenance.
  • Prepare and maintain Pantheon fund/client checklists.
  • Work with the Compliance team on UK/European regulatory aspects of Pantheon’s business, including AIFMD and related filings and marketing passports.
  • Stay updated on new European legislation relevant to fund structuring and management.
  • Identify, interpret, and apply applicable UK laws, rules, and regulations.
  • Draft/review/negotiate a wide range of contracts, including commercial agreements, service provider contracts, and statements of work.
  • Advise staff on legal and regulatory requirements, boundaries, and risks.
  • Supervise and educate external counsels on Pantheon practices.
  • Liaise with applicable regulatory authorities.
  • Attend to other general Pantheon group corporate matters.
  • Assist investment team divisions (primary, secondary, co-investment, infrastructure) with investment transactions and queries on NDAs, fund/transaction terms.
  • Prepare and maintain Pantheon investment checklists.

Requirements

  • Good ‘A’ Level (or equivalent).
  • Either an undergraduate Law degree, or any undergraduate degree plus a Graduate Diploma in Law.
  • Qualified as a Solicitor in England & Wales.
  • Maintain a practising certificate as an English qualified solicitor.
  • Undertake regular learning and development to ensure skills and knowledge remain up to date.
  • Make an annual declaration to the Solicitors Regulatory Authority regarding learning and development.
  • Relevant post-qualification experience obtained in a top 10 (or equivalent) law firm or in-house position.
