About the Role
Our AmLaw 50 client is expanding its Emerging Companies & Venture Capital group, seeking a midlevel to senior associate for its San Francisco, Silicon Valley, Los Angeles, and New York offices. This group operates at the intersection of venture capital, frontier technologies, and strategic M&A, supported by a firm recognized for its venture capital, technology, and fintech work and consistently ranked among Fortune’s “100 Best Companies to Work For”.
Responsibilities
- Serve as trusted counsel to startups and emerging growth companies from incorporation through exit, as well as to venture and growth equity funds that invest in them.
- Lead and support venture financings, SAFE and convertible rounds, preferred equity deals, and secondary transactions.
- Advise founders and boards on corporate governance, cap table issues, and strategic transactions, including acquisitions and portfolio company exits.
- Work on matters involving AI, Web3, blockchain, crypto, metaverse, and other frontier technologies, often with cross-practice input from the firm’s nationally ranked fintech, technology, and digital assets teams.
- Operate as part of an integrated ECVC platform with partners and associates across the West Coast and New York handling thousands of financings from pre-seed through growth stages.
Requirements
- At least 4 years of ECVC, startup, or venture-side experience from a peer AmLaw platform or highly regarded boutique.
- Significant experience running or heavily staffing venture financings and other private company transactions, including drafting and negotiating core deal documents.
- Familiarity with or interest in regulatory and strategic issues around AI, Web3, blockchain, crypto, metaverse, and other next-generation technologies.
- Strong writing, judgment, and client-handling skills, with the ability to manage concurrent workstreams for sophisticated founders, boards, and investors.
- Bar admission: California for SF / Palo Alto / LA and New York for NYC, or a clear path to admission.
