About the Role
Advise public companies on SEC reporting, disclosure requirements, Nasdaq/NYSE governance, and daily challenges. Represent issuers and investment banks in transactions including IPOs, equity and debt offerings, PIPEs, and at-the-market deals. Experience with technology and/or life sciences companies is a strong plus.
Responsibilities
- Advise public companies on SEC reporting and disclosure requirements.
- Advise on Nasdaq/NYSE governance.
- Address practical, day-to-day challenges facing public issuers.
- Represent issuers and investment banks in capital markets transactions.
- Represent issuers and investment banks in IPOs.
- Represent issuers and investment banks in equity offerings.
- Represent issuers and investment banks in debt offerings.
- Represent issuers and investment banks in PIPEs.
- Represent issuers and investment banks in at-the-market deals.
Requirements
- 2-5 years of experience in public company compliance and governance.
- Direct involvement in capital markets transactions.
- Skilled at navigating public company operational and regulatory issues.
