About the Role
Our AmLaw 100 client is building its Bay Area private equity group and seeks a mid-level associate to manage sponsor-side work with significant responsibility. This group is consistently ranked among the top globally for M&A and private equity.
Responsibilities
- Represent leading PE sponsors and portfolio companies on acquisitions, dispositions, add-ons, and exits.
- Draft and negotiate core deal documents, including LOIs, purchase agreements, equity rollover, management incentive, and ancillary agreements.
- Coordinate diligence, deal execution, and closings with specialists (finance, tax, antitrust, exec comp) and across offices for cross-border transactions.
- Gain exposure to sophisticated carve-outs, take-privates, and complex sponsor mandates.
Requirements
- 3rd-6th year associate with a minimum of 2 years of private equity transactional experience.
- Strong sponsor-side M&A representation; general M&A experience with meaningful PE exposure is also considered.
- Ability to drive workstreams, provide quick turnarounds on comments, and independently manage documents.
- California bar admission preferred, or a clear plan to obtain it for the Bay Area practice.
