About the Role

Guidepoint's Legal team is seeking a Contracts Specialist to be the main point of contact between the legal team and stakeholders for all contract management, including drafting, reviewing, and negotiation. This role reports to the Associate General Counsel.

Responsibilities

  • Drafting, reviewing, and negotiating various contracts including client and vendor agreements, non-disclosure agreements, contract amendments and renewals, Statements of Work, data processing agreements, and SaaS agreements for global stakeholders.
  • Managing the Contracts Queue and coordinating all aspects of contract management.
  • Serving as the primary contact between the legal department and internal/external stakeholders for contract review, revision, copies, questions, and status updates.
  • Reviewing, responding to, and managing contracts-related questions from the Contracts inbox.
  • Managing the Contract Template library and other knowledge management functions.
  • Ensuring compliance with contract approval policies and procedures.
  • Liaising with Legal, Compliance, and Sales teams on contracts.
  • Undertaking special projects as needed.

Requirements

  • Bachelor's Degree with at least 3 years of experience working with contracts.
  • Contract management experience, preferably in-house.
  • Experience reviewing, editing, interpreting, and negotiating legal agreements.
  • Experience reviewing and negotiating corporate master services agreements.
  • Strong organizational and communication skills.
  • Ability to set priorities, handle multiple tasks and projects, and track/follow up on projects.
  • Excellent interpersonal skills and ability to work collaboratively in a team environment with internal and external contacts at all levels, across various offices.
  • Ability to digest complex compliance practices and ensure contractual drafting and review is consistent with those practices.
  • Ability to work independently and seek assistance or support as necessary.
  • Ability to shift focus, adapt to changing priorities, and take initiative while meeting deadlines and providing timely responses.
  • Strong client service focus and flexibility.
  • Comfortable in a fast-paced environment.
  • Ability to handle confidential information with professionalism, discretion, and integrity.
