About the Role
Axiom is seeking experienced corporate transactional lawyers to partner with healthcare and life sciences organizations in Australia on complex mergers and acquisitions, property acquisitions, leasing, and commercial contracting.
Responsibilities
- Lead and manage legal aspects of mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence, transaction structuring, drafting and negotiating deal documentation, and coordinating with external counsel and advisors.
- Provide legal support on real estate and property matters, including acquisitions and dispositions, leases, facility development projects, landlord/tenant issues, and related regulatory and zoning considerations.
- Draft, review, and negotiate a wide range of commercial contracts, such as vendor and supply agreements, service and management agreements, technology and licensing agreements, distribution arrangements, and other key commercial relationships.
- Advise on corporate governance and entity structure in connection with new ventures, acquisitions, and property holdings, ensuring alignment with healthcare regulatory requirements.
- Identify and mitigate legal risks in transactions and contracts, and develop standard templates, playbooks, and processes to drive efficiency and consistency across the business.
- Manage relationships with external counsel on transactional, property, and specialty matters, ensuring high-quality, cost-effective legal support.
- Stay current on legal and regulatory developments impacting healthcare M&A, real estate, and commercial arrangements, and advise leadership on their implications for the company’s strategy and operations.
Requirements
- Qualified lawyer with 5+ years of experience and a current, active practising certificate in Australia.
- Strong experience in M&A, real estate/property law, and commercial contracts (ideally within or heavily involving the healthcare sector).
- Excellent negotiation and drafting skills, and the ability to provide clear, practical, business-focused legal advice in a fast-paced environment.
- Pragmatic, commercial and solutions-focused, with excellent stakeholder management skills.
