About the Role
Seeking an Equity Capital Markets Counsel to join Axiom's Corporate and Securities team in Canada, focusing on executing transactions under the Securities Act of 1933 and providing robust transactional and regulatory support across the equity capital markets lifecycle.
Responsibilities
- Provide legal and regulatory support on IPOs and equity capital markets transactions led by the bank.
- Advise internal deal teams on structuring, documentation, and compliance with securities laws and stock exchange requirements.
- Draft, review, and negotiate prospectuses, underwriting agreements, and transaction-related documentation.
- Collaborate with internal teams, clients, and external parties to ensure smooth execution of transactions and compliance with legal and regulatory requirements.
Requirements
- 5+ years of experience in equity capital markets, securities law, or related corporate finance practices.
- Strong knowledge of SEC regulations, bond offerings, covenant structures, and credit rating considerations.
- Minimum of 3 years PQE as an Equity Capital Markets (IPO), preferably with a reputable law firm or financial institution.
- In-depth knowledge of IPO processes, equity offerings, and capital markets transactions.
- Familiarity with Canadian listing rules and relevant laws and regulations.
- Excellent communication and interpersonal skills to effectively collaborate with clients and internal teams.
