About the Role
The Director, Board Operations leads Board operations and governance services for the Board of Trustees and its Committees. This role is responsible for the delivery and continuous improvement of the governance operating model, overseeing planning, execution, and administration to enable effective oversight and decision-making. The Director also drives governance modernization through the adoption of governance technologies and AI-enabled solutions.
Responsibilities
- Lead day-to-day operations of the Board Secretariat.
- Manage planning and execution of Board and Committee meetings, including agendas, calendars, and materials.
- Partner with senior leadership to coordinate the development and review of Board materials.
- Serve as recording secretary to ensure accuracy of minutes, decisions, and records.
- Maintain Board records and governance documentation in compliance with standards.
- Provide governance advice to the CEO, Board Chairs, and executive leadership.
- Facilitate communication and information flow among the Board, CEO, and management.
- Build strong working relationships across the organization.
- Execute Board and Committee effectiveness initiatives and evaluations.
- Develop and maintain governance frameworks, policies, and operating guidelines.
- Develop governance reporting, metrics, and analytics.
- Participate in corporate governance initiatives and enterprise projects.
- Lead governance-related projects, including implementation of new tools and technologies.
- Champion the adoption of governance technologies, including Board portals and AI-enabled solutions.
- Manage the Board Secretariat budget and cost center.
- Oversee Board member administration, including compensation, onboarding, and education programs.
Requirements
- 15+ years of relevant experience in Board or corporate governance.
- Senior leadership experience.
- Strong knowledge of governance practices and Board operations in complex organizations.
- Experience supporting Boards, Committees, and senior executives.
- Experience leading governance transformation and modernization initiatives.
- Demonstrated ability to lead multiple priorities and manage complex processes.
- Strong strategic thinking, judgment, and problem-solving skills.
- Exceptional communication, stakeholder management, and organizational skills.
- Ability to manage confidential matters.
