About the Role
Join Clio's high-impact legal team as a Legal Counsel, supporting the commercial business with a focus on sales agreements across SMB, Enterprise, and Public Sector. This role requires a sharp commercial lawyer excited by AI's application in legal practice, contributing to an AI-first company culture and building consistent processes for scale.
Responsibilities
- Own the full lifecycle of sales agreements, including NDAs, drafting, redlining, negotiating, and closing.
- Develop relationships with internal stakeholders like Compliance, Security, and Channel Partnerships to advance deals.
- Support Public Sector contracting, navigating government procurement frameworks and public sector-specific terms.
- Provide legal advice for partnership strategy and efficiently structure and close referral and revenue partnership agreements.
- Advise on IP, licensing, trademarks, and technology law, staying current with AI and legal landscape evolution.
- Support the privacy compliance program, including policies, data breach response, DPIAs, and regulatory guidance across jurisdictions.
- Contribute to legal operations process improvement and shape the use of AI and legal tools.
Requirements
- Called to the bar in a Canadian province or territory, in good standing.
- 3 - 5 years as a commercial or technology lawyer with depth in SaaS agreements, NDAs, privacy law, and partnerships.
- Enjoys negotiating and excels at the deal side of legal work.
- Comfortable with rapid pace and variable scope, adapting quickly and staying organized under pressure.
- Exercises good judgment, making calls without perfect information and escalating when appropriate.
- Deeply curious about AI and legal tech, with a desire to use these tools in practice.
- Strong communicator, able to translate legal risk clearly for non-lawyers.
- A cohesive team player.
- Experience with public sector or SLED transactions and government procurement processes (bonus).

- $131,800 to $178,200 CAD (for this role)
- Separate salary bands for other regions based on local currency
