About the Role

Manage and optimize the global equity compensation program, ensuring a seamless experience for all stock plan participants. This role requires subject matter expertise, strong communication, relationship-building skills, and a forward-looking approach to technology and automation. Reporting to the Legal department, this position partners closely with HR, Payroll, Tax, Accounting, and external vendors, providing regular exposure to the C-Suite and Board of Directors. The role focuses on building structures, improving processes, bringing clarity to evolving global programs, and developing team capabilities.

Responsibilities

  • Manage the full lifecycle of global equity awards, including grant setup, vesting, releases, cancellations, terminations/retirement, and quarterly dividends across multiple jurisdictions and equity structures.
  • Act as a trusted stock plan expert for all organizational levels, including executives and board members, providing timely and accurate support and addressing inquiries.
  • Exercise sound judgment to resolve complex stock plan participant matters and address evolving stock plan provisions, balancing business needs and employee experience.
  • Maintain and optimize equity management systems (currently Equity Edge Online, E*TRADE).
  • Lead strategic vendor relationships, such as with E*TRADE and outside counsel, evaluating service quality and ensuring effective support for Prologis' equity strategy.
  • Prepare, file, and manage SEC insider ownership disclosures, including Forms 3, 4, and 5.
  • Advise executives and directors on insider ownership reporting obligations, providing guidance on requirements and disclosure timing.
  • Prepare and review stock plan participant communications, statements, and educational materials for clarity and comprehension.
  • Monitor insider trading compliance and manage blackout periods.
  • Reconcile equity data across Workday, equity platforms, and transfer agents.
  • Support audit and periodic reporting functions.
  • Ensure data integrity and accuracy across all systems and reporting outputs.
  • Onboard officers and directors using the EDGAR Next platform.
  • Leverage Prologis’ AI resources to identify, evaluate, and develop AI-enabled tools and automation solutions for efficiency in equity administration.
  • Partner with cross-functional stakeholders across Legal, HR, Payroll, Tax, and Finance to advance shared program objectives and ensure coordinated outcomes.
  • Mentor and develop stock plan colleagues, fostering a collaborative culture and supporting professional development.
  • Build stock plan team capabilities, deepening understanding of equity administration processes and best practices.

Requirements

  • Bachelor’s degree in Finance, Accounting, HR, or a related field.
  • 7+ years of experience in stock plan administration, including direct experience with complex equity programs.
  • Strong knowledge of equity plan structures (RSUs, PSUs, etc.).
  • Demonstrated ability to advise senior executives, board members, and cross-functional leaders on equity, reporting/compliance, and participant matters.
  • Experience with equity platforms such as Equity Edge Online/E*TRADE (or equivalent).
  • Familiarity with Workday, DFIN platform (Donnelley Financial Solutions), EDGAR Next, and Docusign is a plus.
  • Advanced Excel skills, including monthly reconciliation and data validation.
  • Comfortable seeking to leverage AI tools and emerging technologies to optimize workflows and drive process efficiencies.
  • Experience with Equity Edge Online/E*TRADE specifically (Preferred).
  • Experience supporting global equity programs across multiple jurisdictions (Preferred).
  • Experience preparing and filing Forms 3, 4, and 5 with the SEC (Preferred).
  • Familiarity with HRIS and payroll integrations (e.g., Workday) (Preferred).
  • Certified Equity Professional (CEP) designation or working towards (Preferred).
  • Experience mentoring and developing colleagues (Preferred).
  • Demonstrates willingness and capability to leverage emerging technology, automation, and AI tools to improve efficiency, quality, and speed (Preferred).

Salary/Compensations

  • Hiring Salary Range: $156,000 – $196,000
  • Salary and total compensation package (bonus target & Long Term Incentives) determined by candidate’s location, education, experience, knowledge, skills, and abilities, as well as internal equity and market data alignment
