About the Role

This junior commercial counsel role supports LiveRamp’s commercial contracting across customer, vendor, and business partner agreements. It is designed for an attorney early in their career eager to learn and develop judgment in commercial contracting, privacy-forward technology transactions, and cross-functional legal support. The role involves training, mentorship, and guidance from senior Legal team members to build skills in a fast-paced AdTech, MarTech, SaaS, and data collaboration environment. Responsibilities include improving Legal team efficiency through contract review, intake, playbooks, templates, and legal operations projects. The role provides practical, business-minded legal guidance for commercial initiatives and reports to LiveRamp's Assistant General Counsel.

Responsibilities

  • Draft, review, and negotiate commercial agreements including customer, vendor, NDAs, order forms, statements of work, and amendments, with senior Legal team guidance.
  • Support senior attorneys on complex commercial agreements by preparing initial reviews, identifying issues, drafting language, and tracking items.
  • Apply LiveRamp’s contracting policies, templates, playbooks, and escalation processes, developing judgment on legal risk and business needs.
  • Partner with internal stakeholders (sales, finance, product, privacy, customer success, business development) to support the sales cycle and advance contracts.
  • Provide practical guidance to cross-functional teams on routine contract questions and standard LiveRamp positions, escalating higher-risk issues.
  • Balance customer and business team responsiveness with protecting LiveRamp’s interests under senior Legal team supervision.
  • Support legal review for RFPs, security questionnaires, privacy-related contracting requests, and other customer-driven requests.
  • Respond promptly to SaaS sales team demands, prioritizing work based on urgency, deal value, risk, and business impact.
  • Build fluency in LiveRamp’s products, privacy-first approach, data collaboration solutions, and commercial contracting model.
  • Contribute to improvements in contract templates, playbooks, intake processes, and training materials for Legal team efficiency.

Requirements

  • 0 to 3 years of legal experience, preferably with exposure to commercial contracts, technology transactions, privacy, SaaS, AdTech, MarTech, or data.
  • J.D. degree from an accredited law school.
  • Membership in good standing with at least one US state bar, or eligibility to register as in-house counsel where required.
  • Interest in developing as an in-house commercial attorney in a technology, data, and privacy-forward business.
  • Prior internship, fellowship, law firm, or in-house experience involving commercial contracts, privacy, technology, SaaS, AdTech, MarTech, or data (bonus).
