About the Role

You are passionate about the development of the music industry and curious about the role of strategic investments and company acquisitions in shaping the future. Do you have strong analytical skills, a keen eye for detail, and the ability to think outside the box?

Responsibilities

  • Support teams in Germany, Austria, and Switzerland in all aspects of regional M&A transactions, strategic investments, joint ventures, divestitures, and similar corporate transactions.
  • Draft, negotiate, and close a wide range of M&A contracts, including mandate agreements, approval templates, confidentiality agreements, term sheets, joint venture agreements, and share and asset purchase agreements.
  • Manage and oversee due diligence processes, identify and assess (legal) risks, coordinate internal stakeholders and approval processes, and guide external law firms and other advisors.
  • Lead cross-functional workflows in collaboration with Finance, Ventures & Investments, Tax, HR, Operations, and other internal partners throughout the transaction lifecycle.
  • Provide general legal advice and manage governance issues and other matters related to past and current transactions.
  • Optimize transaction processes by advising on best practices, developing scalable procedures, and promoting continuous improvements in due diligence and execution workflows.

Requirements

  • Fully qualified lawyer under German law (first and second state examinations).
  • Minimum of 3 years of relevant experience in a major commercial law firm, ideally with substantial responsibility in M&A transactions.
  • Sound knowledge of German commercial and corporate law.
  • Strong negotiation skills and precise use of language, even with complex issues.
  • Excellent communication and analytical skills, with the ability to convey legal topics understandably and appropriately for the audience.
  • Team player with a strong service orientation and a commitment to achieving successful transactions together.
  • Confident in managing multiple priorities in a dynamic environment, combined with high accuracy and sound judgment.
  • Flexible and open to supporting general legal issues beyond M&A, depending on business needs.
