About the Role
We are seeking a commercially minded, hands-on General Counsel to independently lead our legal function. Reporting directly to the CEO, you will act as a trusted advisor across lending, treasury, and sales, working closely with the Board, Finstro Management Committee, and senior global stakeholders. This is a sole-counsel role for a strategic operator who thrives in a fast-paced environment and wants to directly influence the trajectory of a high-growth FinTech.
Responsibilities
- Act as the primary legal advisor to the CEO, Board, and Executive team.
- Lead contract negotiation, litigation management, and regulatory compliance.
- Oversee drafting, review and negotiation of loan agreements, vendor agreements and other contracts.
- Provide advice on risk management, corporate governance and internal policies.
- Oversee governance frameworks, compliance schedules, and risk management.
- Support treasury transactions, funding arrangements and securitisation matters, including coordination with external counsel.
- Ensure compliance with Australian regulatory requirements, including the Corporations Act, ASIC regulations and the National Consumer Credit Protection Act.
- Manage disputes and external dispute resolution processes, engaging external counsel where required.
- Develop and implement legal strategies aligned with business goals.
- Act as a trusted advisor across lending, treasury and sales.
Requirements
- A formal legal qualification and admission to practice in Australia, holding a current NSW practicing certificate.
- A minimum of 8 years Post Qualification Experience (PQE) as Legal Counsel within the Banking and Financial Services sector (gained in-house or via reputable private practice).
- Ability to interpret and explain complex legislation and to plan and implement policy and risk management strategies considering legislative and regulatory changes.
- Strong knowledge of lending, NCCP, consumer credit and AML/CTF.
- In-depth understanding of Australian regulatory frameworks.
- Commercially minded and capable of advising on risk in a way that enables the business to move forward confidently.
- High emotional intelligence, exceptional communication skills, and the ability to explain complex legislation to non-legal stakeholders.
- A calm, resilient, and adaptable approach to high-stakes situations and shifting organizational demands.
