About the Role

Foundation models have transformed text and images, but structured data has remained untouched. We are building the team that will create foundation models for tables, the next modality shift in AI. Our TabPFN v2 model is state-of-the-art for tabular machine learning, with 3M+ downloads and accelerating adoption. We are scaling tabular foundation models to handle millions of rows, thousands of features, real-time inference, and new data modalities, while building the infrastructure to deploy them in production.

Responsibilities

• Be the team's single point of contact for all legal requests.
• Triage legal requests, manage external counsel, and build systems to prevent legal bottlenecks.
• Own the legal workstream for the SAP acquisition, including corporate structure, IP ownership, governance documentation, and parent company relations.
• Manage commercial contracting end-to-end, including negotiating MSAs, NDAs, DPAs, and vendor agreements.
• Build a standard template library for routine commercial agreements.
• Develop the legal function from the ground up with a contract management system, policy library, and internal escalation playbook.
• Define and protect Prior Labs' IP and open-source legal posture, including licensing strategy, patents, trademarks, and contributor agreements.
• Manage specialist external counsel for depth or jurisdiction requirements.

Requirements

• 3+ years as in-house counsel at a tech or AI company.
• Personally owned a major corporate transaction or M&A process from the legal side.
• Negotiated commercial agreements (MSAs, DPAs, NDAs) directly with counterparties without outside counsel.
• Track record managing external counsel, including selecting firms, scoping mandates, and controlling spend.
• Built or significantly shaped a legal function at an early-stage company.
• Comfortable operating across both EU/German and US legal frameworks.
• Open-source licensing or software IP experience (nice to have).
• Experience with cap table management (nice to have).
