About the Role

Join the Funds Legal team focusing on U.S. and Cayman private funds. This role involves representing private funds on compliance, U.S. and international regulatory issues, capital raising, marketing, investor relations, fund formation and structuring, and corporate transactional matters. The ideal candidate has strong regulatory experience, including Regulation D and the Investment Company Act of 1940, and experience drafting and negotiating private fund documents, side letters, placement agreements, and related fund materials.

Responsibilities

  • Negotiate various agreements with counterparties including fund managers and distribution agents.
  • Draft and review private fund offering materials, partnership agreements, and other private fund legal documentation.
  • Advise on the legal implications of offering new and existing products and services.
  • Coordinate outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work.
  • Draft and review various contracts, non-disclosure agreements and other legal documentation.
  • Assist with regulatory filings and perform research projects as required.

Requirements

  • 3+ years of fund formation experience within the Investment Management space.
  • Member in good standing of Utah Bar, another state or jurisdiction.
  • Law firm or in-house experience at an asset management firm is a plus.

Skills

  • Strong knowledge of the Investment Company Act of 1940.
  • Strong knowledge of the Investment Advisers Act of 1940.
  • Strong knowledge of the Securities Act of 1933.
  • Strong knowledge of the Securities Exchange Act of 1934.
  • Strong knowledge of FINRA regulations.
  • Strong interpersonal and leadership skills.
  • Willingness to learn new topics and work in an evolving business environment.
  • Organized and detail-oriented with big picture capability.

Salary/Compensations

  • $160,000 to $210,000
