About the Role

CPAB is seeking a Board & Legal Affairs Assistant to support its legal department, work with the board of directors, and provide assistance on legal and governance matters. This role is crucial for ensuring the effective and efficient operation of board and committee activities, as well as supporting various legal department tasks.

Responsibilities

  • Partner with the CEO and Corporate Secretary & Senior Legal Counsel to ensure the effective and efficient running of all board and board committee matters.
  • Manage board and committee annual workplans and agendas.
  • Coordinate and schedule all board and committee meetings, including director travel and expenses.
  • Assist with the set up and running of each board and committee meeting.
  • Assist with minute taking.
  • Support the General Counsel in a variety of legal department tasks such as contract management, invoice tracking, corporate filings, and other general legal administrative duties.
  • Support the CPAB leadership team in board material preparation.
  • Support the Board chairs in preparing for meetings and other board-related matters.
  • Attend all CPAB board meetings to deepen governance practice.

Requirements

  • Experience supporting a board of directors and legal and corporate executives.
  • Experience working with a General Counsel or Corporate Secretary is a strong asset.
  • Excellent verbal, written, and presentation skills.
  • Excellent time management skills with the ability to balance competing demands while maintaining professionalism.
  • Well-versed in all Microsoft Office Suite applications (Outlook, Word, PowerPoint, Excel).
  • Experience in supporting multi-site operations is a strong asset.
  • Sound knowledge of Diligent Boards or equivalent software is a strong asset.
  • Bilingual in English and French is an asset.
